We are currently growing and in need of an entry level attorney to join our MTS Sensors Legal Team in Depew, NY on a full-time basis as Assistant Corporate Counsel - Sensors.

The Assistant Corporate Counsel works with the General Counsel – Sensors, the rest of the MTS Sensors legal team and the MTS Corporate Office of Risk & Compliance with respect to due diligence, planning and implementation relative to all legal compliance matters, including domestic and international laws, rules and regulations. Assists in development and provides training to organization and distribution network on legal matters relevant to PCB’s business. Together with the General Counsel – Sensors and the rest of the MTS Sensors legal team, helps to ensure the timely review, execution and administration of MTS Sensors’ contractual commitments with its customers (domestic and international) in support of company objectives. Provides support with respect to legal and contracting activities for the Company’s ongoing and new business opportunities. This position will also work with the MTS Sensors legal team on specific projects and various day-to-day activities relating to the legal function of the Company and its ongoing business matters.

Qualifications:

Education/Experience: Entry level attorney with 0-2 years’ experience or Bar Eligible/Admission pending. Coursework focus and/or experience in corporate/commercial laws, contracts and compliance. Candidates should have a strong interest in practicing in these areas.
Skills: Strong attention to detail and organizational skills. Able to handle a large volume of diverse work in a fast-paced environment. Excellent analytical skills for interpretation of contractual terms and conditions. Strong interpersonal skills; including the ability to interact and communicate effectively with all organizational levels and with internal and external customers. Strong written and verbal communication skills, being precise in oral and written communication, including, without limitation, strong contract drafting and negotiation skills/aptitude. Excellent computer skills including MS Office Suite. Experience with or ability to quickly learn and understand domestic and international business practices. Able to effectively work independently as well as in a team environment. Able to maintain confidentiality at all levels of the business and staff. Able to review, understand, and interpret complex contracts, laws and regulations.
Other: MTS Sensors is involved in the development of technology controlled by the International Traffic in Arms Regulations and other applicable export regulations. For the purpose of our compliance with U.S. Export Control laws, U.S. citizenship is required for this position.

Essential Duties and Responsibilities:

Promotes teamwork, cooperation and commitment to “Total Customer Satisfaction” among team members.

  • Assist the MTS Sensors legal team (and, as applicable, the MTS Office of Risk and Compliance (“ORC”)) with all legal matters impacting the Company, including: (i) drafting and negotiation of commercial contracts, including, without limitation, U.S. Government contracts, international distributor agreements, non-disclosure agreements, terms and conditions of sale/purchase of goods and equipment, and various other contracts; (ii) corporate compliance matters (e.g., FCPA, ITAR, FAR/DFARS); (iii) third party business partner due diligence and risk assessment; (iv) reviewing and advising human resources personnel and company management regarding labor and employment matters; (v) oversight of patent and trademark portfolios; (vi) reviewing and assisting with management of intellectual property infringement issues; (vii) conducting due diligence and assisting with drafting and negotiation of merger and acquisition agreements and ancillary documentation; (viii) work with outside legal counsel with respect to any projects/matters on which they are engaged by the Company and (ix) review, research and provide guidance to Company management relative to all governmental laws, rules and regulations impacting the Company.
  • Assist General Counsel - Sensors, the Export Control and Contracts Manager, and the ORC with review of MTS Sensors’ export compliance program and oversight of MTS Sensors’ compliance with all laws and regulations concerning global trade, exports, imports and penalties of law concerning global trade, exports, imports and related matters that fall under the jurisdiction of the U.S. Government.
  • Work with General Counsel - Sensors and outside legal counsel relative to any litigation and dispute resolution matters.
  • Work with MTS legal team to establish, implement and monitor contracts which support the company's near and long term business strategies, including aerospace and defense, government, and other customer contracts.
  • Assist with review and approval of customer and supplier sale and purchase contracts, balancing protection of the Company with achievement of the Company’s operating plan, achieving Total Customer Satisfaction, and providing value to the business.
  • Work with MTS Sensors legal team to protect MTS Sensors’ confidential and proprietary information and intellectual property interests by assisting with the drafting, review and negotiation of appropriate contract Terms and Conditions and Non-Disclosure and Proprietary Information Agreements, and by monitoring usage of MTS Sensors’ trademarks and copyrights by third parties.
  • Help to ensure compliance with contractual obligations for price, delivery, quality and performance by reviewing bids, purchase orders and proposals to ensure that they meet company policy, legal requirements, and customer specifications.
  • Help to ensure proper internal flow down of contractual obligations and requirements throughout MTS Sensors and its suppliers.
  • Respond to customer requests for representations and certifications, surveys and other requests for information.
  • Assist with review of contractual rights and obligations and providing interpretation of terms and conditions.
  • Represent MTS Sensors in all assigned matters with a high level of competence, professionalism, integrity and credibility.
  • Review U.S. and international laws, rules and regulations, and implement and monitor compliance with legal compliance program (including, without limitation, ITAR, EAR, REACH, WEE, CE Compliance, etc.).
  • Help to ensure that customer-related transactions are conducted with appropriate levels of adequate control, review and approval as required by company procedure and/or applicable regulation or law.
  • Assist with preparation, monitoring and maintaining customer and legal correspondence and documented records of all agreements and contract revisions.
  • Research applicable laws and regulations, and help to keep MTS Sensors abreast of any governmental requirements affecting contracts and agreements.
